Agreement to Terms

These Terms govern your access to and use of the Joe Veggies LLC website, services, and related tools (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

About the Services

Joe Veggies LLC provides ordering, invoicing, and payment capabilities for fresh produce and related offerings. Service details, pricing, and availability may change and are provided in the applicable ordering or invoicing flow.

Accounts and Access

If you create an account, you are responsible for maintaining its confidentiality and for all activity under your account. You agree to provide accurate information and keep it current.

Orders, Invoices, and Payments

Invoices and payment links are issued for amounts due. Payments are processed by Stripe and are subject to Stripe's terms. You authorize us to charge the payment method you provide for amounts due on your invoice.

Invoices may be marked as sent or viewed when accessed via a payment link. Only open invoices are payable. Paid invoices are non-payable.

Taxes

Taxes may be applied where required and will be reflected on your invoice. You are responsible for any applicable taxes not collected at the time of payment.

Perishable Goods and Fulfillment

Our products are perishable and time-sensitive. Fulfillment details, delivery windows, and pickup instructions are provided at order time or in your invoice. You are responsible for ensuring timely receipt.

Refunds and Credits

Refunds are handled in accordance with our Refund Policy, available at /refunds. Perishable goods are typically non-refundable unless issues are reported promptly.

Acceptable Use

You agree not to misuse the Services, interfere with their operation, or attempt to access restricted areas. You may not use the Services for unlawful, fraudulent, or abusive activities.

Intellectual Property

All content, trademarks, and materials on the Services belong to Joe Veggies LLC or its licensors. You may not copy, modify, or distribute any content without permission.

Third-Party Services

We use third-party providers to operate the Services, including payment processing (Stripe), database/authentication (Supabase), and email delivery (Resend). Your use of the Services is also subject to the applicable third-party terms and policies.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind. We do not warrant that the Services will be uninterrupted or error-free.

Limitation of Liability

To the fullest extent permitted by law, Joe Veggies LLC will not be liable for any indirect, incidental, or consequential damages, or for any loss of profits, revenue, data, or goodwill arising from the use of the Services.

Indemnification

You agree to indemnify and hold harmless Joe Veggies LLC from any claims, damages, liabilities, and expenses arising out of your use of the Services or violation of these Terms.

Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms or if required to protect our business.

Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of courts located in Michigan for any disputes.

Changes to These Terms

We may update these Terms from time to time. The "Last updated" date indicates the most recent revision. Your continued use of the Services constitutes acceptance of the updated Terms.
